General Terms

This Services Agreement below contains our complete terms and conditions which govern your use of our services provided by Media Team (ADKP Technologies (Pty) Ltd. As used in this Agreement, “Media Team” means our business ADKP Technologies (Pty) Ltd trading as “Media Team” and “Client”, “you”, or “your” means you the client, whether an individual or a business.

You acknowledge that you have read the Agreement, and you agree to its terms and conditions and all policies when contracting, doing business or signing a contract with Media Team. As referred to in this Agreement, “Site” refers to a World Wide Web site and “Media Team Site” or “Media Team Website” refers to our website located at the URL https://www.mediateam.co.za or any other successor Sites owned or maintained by Media Team – Innovative IT & Digital Solutions.

The following terms and conditions apply to all clients and services provided by Media Team.

It is not necessary for any Client to have signed an acceptance of these terms and conditions for them to apply. If a Client accepts a quote by Media Team or conducts business through our services then the Client will be deemed to have satisfied themselves as to the terms applying and have accepted these terms and conditions in full.

Media Team reserves the right to change or update these terms and conditions at any time.

Billing / Payments

Charges for services to be provided by Media Team are defined in the project quotation that the Client receives via e-mail. Quotations are valid for a period of 30 days. Media Team reserves the right to alter or decline to provide a quotation after expiry of the 30 days.

Unless agreed otherwise with the Client, all services require an advance payment of a minimum of fifty (50) percent of the project quotation total before the work is supplied to the Client for review or a sign off on contractual projects. The remaining fifty (50) percent of the project quotation total due upon completion of the work, prior to the release of any materials.

Payment for services is due by bank transfer (EFT) or monthly payments for contractual services. Contractual Payments must be made payable to Media Team before the 1st of each month and sent to Media Team. Bank details will be made available on invoices.

Invoices will be provided by Media Team upon the completion of a Website or Design project but before publishing the live website or handing over any material related to the project. Invoices are normally sent via email and are due upon receipt unless otherwise stipulated by Media Team, such as Contractual agreements.

Prices are generally exclusive of VAT, unless otherwise stated.

Website / Design Contents

Media Team requires the Client to provide all the required information in advance for any Website or Design project. Regarding any situation where progress cannot be made because Media Team has not been given the required information within the agreed time frame, Media Team will not be held liable and reserves the right to impose a surcharge.

PLEASE NOTE: Text content for Website or Design projects should be delivered in a Microsoft Word, Text Document, email (or similar) document with the pages in the supplied document representing the content of the relevant pages on your website or the content required for the Design project.

Media Team will not be held responsible for any errors or typo’s supplied within the Clients documents.

Client Review

Media Team will provide the Client with an opportunity to review the appearance and content of the Website or Design project during the design phase and once the overall development of the project is completed. At the completion of the project, such materials will be deemed accepted and approved unless the Client notifies Media Team otherwise within fourteen (14) days of the date that the materials have been made available to the Client.

During the review period of 14 days the client will have the opportunity to make minor changes as agreed or stipulated by Media Team for the said Website or Design project. Minor changes include changing of images or alterations to text, all changes must be supplied by the Client and done so within the review period, minor changes must be supplied to Media Team in one single document or email.

Turnaround Time

Media Team will install and publicly post in a private sub-domain or supply the Client’s website by the date specified in the project proposal or at the date agreed with the Client upon Media Team receiving full payment as agreed upon, unless a delay is specifically requested by the Client and agreed to by Media Team.

Media Team will supply the Client with a Design project within the specified date period of completion agreed upon unless a delay occurs due to the Client not supplying the required documents or images for the Design project.

In return, the Client agrees to delegate a single individual as a primary contact to aid Media Team with progressing the commission of a Website or Design project in a satisfactory and professional manner.

During the Website or Design project, Media Team will require the Client to provide website content, text, images, movies and sound files depending on the project.

Termination of Agreement

Media Team requires the Client to actively participate in a project by providing the necessary information, feedback, and approvals in a timely manner. If the Client subsequently fails to do within the specified time of a project’s commencement, Media Team reserves the right to close the project and this agreement will be terminated, both parties will be released from their respective obligations. Any termination of the agreement will not relieve the client of their obligation to pay for services rendered up to the date of termination.

Additional Expenses

Clients agree to either pay upfront or reimburse Media Team for any additional expenses necessary for the completion of the project. Examples would be the purchasing of special fonts, stock images, videos, etc.

Web Browsers

Media Team makes every effort to ensure that websites we handle are designed to be viewed by all visitors nationwide and globally. Websites are designed to work with the most popular current browsers however (e.g. Firefox, Internet Explorer, Google Chrome, etc.). Clients acknowledge that Media Team cannot guarantee perfect functionality with every browser software across different operating systems.

Media Team cannot accept responsibility for web pages which do not display acceptably in new versions of browsers released after a website has been designed and handed over to a client. Media Team reserves the right to quote for any work involved in changing the website’s design or code for it to function as intended with updated or new browsers.

Default

Accounts unpaid thirty (30) days after the date of invoice will be considered in default. If the Client in default maintains any information or files on Media Team’s web space / servers, Media Team will, at its own discretion, remove all such material from its web space / servers. Media Team is not responsible for any loss of data incurred due to the removal of the service. Removal of such material does not relieve the Client of the obligation to pay any outstanding charges assessed to the Client’s account.

Insufficient or incorrect Payments will result in the Client’s account being immediately considered to be in default until full payment is received. Clients with accounts in default agree to pay Media Team the full expenses for the related project, including legal fees and costs for collection by third-party agencies.

Termination

Termination of services by the Client must be requested in a written notice and will be effective on receipt of such notice. Telephone requests for termination of services will not be honored until confirmed in writing. The Client will be invoiced for work completed to the date of first notice of cancellation for payment in full within thirty (30) days.

Indemnity

All Media Team services may be used for lawful purposes only. You agree to indemnify and hold Media Team harmless from any claims resulting from your use of our service that damages you or any other party.

Copywrite

The Client retains the copyright to data, files and graphic logos provided by the Client, and grants Media Team the rights to publish and use such material. Any projects on rental remain the property of Media Team until purchased in full. The Client must obtain permission and rights to use any information or files that are copyrighted by a third party. The Client is further responsible for granting Media Team permission and rights for the use of the files and agrees to indemnify Media Team from any and all claims resulting from the Client’s negligence or inability to obtain proper copyright permissions. Evidence of permissions and authorities may be requested upon Media Teams discretion.

Standard Media Supplied

If the Client chooses to provide files in an electronic format (example: text files or images delivered on a USB thumb drive or CD) Media Team will not be held responsible for any damage or lose that may occur to the electronic device due to unforeseen circumstances. Although every reasonable attempt is made by Media Team to return the Client’s electronic device and files within it, such returns cannot be guaranteed.

Design Credit

A link to Media Teams website will appear in either small type or as a small graphic at the bottom of a Client’s website. If a graphic is used, it will be designed to fit in with the overall site design. The Client also agrees that the website developed for the Client may be presented in Media Team’s portfolio.

Clients acknowledge that Graphic Design projects created by Media Team can be used in our portfolio unless requested by the Client to not be used if billed and paid in full, however design projects that have been included in rental (month to month) projects or designs created without charges (such as Logo’s, etc.) will be eligible for use in Media Team’s portfolio regardless of a Clients request.

Access Requirements

If the Client’s website is to be installed on a third-party server, Media Team must be granted temporary (read/write) access to the Client’s storage directories which must be accessible via FTP. Depending on the specific nature of the project, other resources might also need to be configured on the server for Media Team to work effectively.

Post Placement Alterations

Media Team cannot accept responsibility for any alterations caused by a third party occurring to the Client’s website pages or design files once installed or handed over to the Client. Such alterations include, but are not limited to additions, modifications or deletions.

Liability

Media Team hereby excludes itself, its Employees and or Agents from all and any liability from:

• Loss or damage caused by any inaccuracy;
• Loss or damage caused by omission;
• Loss or damage caused by delay or error, whether the result of negligence or other cause in the production of a Website or Design project.
• Loss or damage to clients’ artwork/photos, supplied for the project, whether the loss or damage results from negligence or otherwise.
• The entire liability of Media Team to the Client in respect of any claim whatsoever or breach of this Agreement, whether or not arising out of negligence, shall be limited to the charges paid for the Services under this Agreement in respect of which the breach has arisen.
